SEC to Vote August 14 on ‘Regulation Crypto,’ Its First Formal Crypto Rulemaking

For years, US crypto firms have operated under a regulatory approach built mostly on enforcement actions after the fact. That may be about to change with an actual rule on the table.

The SEC, currently a three-member, all-Republican commission, is scheduled to vote on August 14 on whether to formally propose “Regulation Crypto” for public comment. The proposal reportedly covers tailored fundraising pathways for tokens that qualify as investment contracts, and an “exit ramp” allowing projects to leave SEC jurisdiction once their networks become sufficiently decentralized.

The distinction that matters here is procedural: this is a vote to open a formal rulemaking process, not to finalize binding rules. Public comment periods, revisions, and further votes would still follow before anything like this actually takes effect, so the practical impact on token issuers is still a considerable distance away.

Even so, the shift in approach is significant on its own terms. A dedicated rulemaking track aimed specifically at crypto fundraising is a structurally different tool than case-by-case enforcement or informal no-action letters, both of which leave firms guessing at where the lines are until the SEC sues someone. A durable rule, once finalized, would give projects something concrete to build compliance programs around.

The “decentralization exit ramp” concept is the more novel piece. It implicitly accepts that a token’s regulatory status can change over the life of a network, rather than being fixed permanently at the moment of an early fundraising round, an idea that industry lawyers have argued for years without a formal rule ever codifying it.
